TERMS AND CONDITIONS OF SERVICE

Welcome to Jvno AI (operating under Stingray Technology LLC). These Terms and Conditions ("Terms") govern your access to and use of the Jvno AI website, the Fast Track Execution Engine, the Jvpitor Beta, our dashboards, applications, and all associated services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access the Services.

1. DEFINITIONS

• "Company," "We," "Us," or "Our" refers to Jvno AI and its parent entity, Stingray Technology LLC.

• "User," "You," or "Your" refers to the individual, carrier, shipper, or business entity accessing the Services.

• "Fast Track" refers to our SLA Geofence Validation Engine and immutable ledger dashboard.

• "Jvpitor" refers to our beta artificial intelligence and predictive modeling platform.

2. USE OF SERVICES & ACCOUNT REGISTRATION

2.1 Access: You must provide accurate, current, and complete information during the registration process and keep your dashboard login credentials secure. 2.2 Authorized Use: The Services are intended for commercial logistics, operational tracking, and data analysis. You agree not to misuse the Services, attempt to bypass security protocols, or reverse-engineer the underlying Python backend or execution engines.

3. LOCATION DATA & GEOFENCING (FAST TRACK)

3.1 GPS Consent: The Fast Track engine relies on precise geolocation data. By utilizing the "Log Arrival" or similar ping functions, you grant Jvno AI explicit consent to capture, process, and store your device’s latitude, longitude, and timestamp data. 3.2 Accuracy of Tracking: While our geofencing engine utilizes advanced coordinate math (including the Haversine formula), GPS accuracy can vary based on device hardware, weather, and cellular networks. Jvno AI does not guarantee 100% accuracy of location pings. 3.3 SLA Ledger Liability: The Fast Track immutable ledger tracks dwell times and facility breaches for operational visibility. Jvno AI acts solely as a data processor. We are not a party to any Service Level Agreements (SLAs) or micro-settlements between shippers, receivers, and carriers. We hold no liability for financial disputes arising from recorded dwell times.

4. ARTIFICIAL INTELLIGENCE & PREDICTIVE MODELS (JVPITOR)

4.1 Beta Status: Jvpitor is currently offered as a "Beta" service. It utilizes artificial intelligence, machine learning, and predictive modeling algorithms that are actively in development. 4.2 No Guarantee of Accuracy: Output generated by Jvpitor (including route optimization, predictive analytics, or economic intelligence) is provided for informational purposes only. You assume all risks associated with relying on AI-generated outputs for business decisions. 4.3 Algorithmic Feedback: Data inputted into Jvpitor may be used to train and improve our proprietary models, subject to anonymization protocols.

5. DATA OWNERSHIP & PRIVACY

5.1 User Data: You retain all ownership rights to the raw data you upload to the platform. You grant Jvno AI a worldwide, royalty-free license to host, process, and display this data strictly to operate and improve the Services. 5.2 Security: We deploy industry-standard security measures, including local SQLite isolation and secure API routing, to protect the dashboard and your data. However, no digital transmission is entirely secure, and we cannot guarantee absolute data security against unauthorized breaches.

6. INTELLECTUAL PROPERTY

All code, algorithms, visual brand identities (including our specific Navy Blue #0D1E3A and Mint Green #A3D4C0 UI designs), dashboard layouts, and moving outline animations are the exclusive property of Jvno AI. You may not copy, reproduce, or create derivative works from our intellectual property without written consent.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JVNO AI AND STINGRAY TECHNOLOGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM:

1. Your access to or use of (or inability to access or use) the Services.

2. Any conduct or content of any third party (including carriers or shippers) on the Services.

3. Errors, inaccuracies, or downtime within the Fast Track geofence engine or Jvpitor AI.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Jvno AI, its founders, shareholders, and employees from any claims, disputes, liabilities, damages, losses, and costs (including reasonable legal fees) arising out of or related to your violation of these Terms, your misuse of the GPS tracking tools, or any dispute you have with a third-party logistics partner.

9. MODIFICATIONS TO THE SERVICE

We reserve the right to modify, suspend, or discontinue any part of the Services (including changing subscription pricing tiers, such as Fast Track Essential or Elite) at any time, with or without notice. We will not be liable to you or any third party for any modification or discontinuation.

10. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in or nearest to Indianapolis, Indiana.
